These Terms & Conditions ("Terms") govern your use of eepartnergroup.com (the "Site") and your engagement of services from Small Business Advantage Group, LLC ("Company," "we," "us"), including the Authority Engine content production service. By using the Site or engaging our services, you agree to these Terms.

1. Description of Service

We provide a done-for-you weekly content production service ("Authority Engine") consisting of podcast episodes, blog articles, video content, short-form clips, and social media posts, produced using an AI clone of your voice, following an initial guided recording and onboarding process.

2. Voice Recording & Biometric Consent

Participation in our service requires you to provide a voice recording, which we use to create an AI clone of your voice ("Voice Clone"). This constitutes capture of a biometric identifier under Texas law. By completing our intake process and providing a voice recording, you affirmatively consent to this capture, as described in detail in our Privacy Policy, which is incorporated into these Terms by reference.

3. Client Accounts & Onboarding

To begin service, you must complete our intake process, including submitting accurate business information and a voice recording. You are responsible for the accuracy of information you provide. We reserve the right to decline or delay onboarding if submitted materials are incomplete or unusable.

4. Content Ownership

Upon full payment for the applicable billing period, you own the podcast episodes, blog articles, videos, and social media content produced specifically for you under this service ("Deliverables"). We retain ownership of our underlying systems, processes, templates, software, and any proprietary tools used to produce your Deliverables, none of which are transferred to you.

5. Payment Terms

Fees are billed on a recurring basis as agreed at signup, processed through Stripe. Late or failed payments may result in suspension of service until resolved. All fees are quoted and due in U.S. dollars.

6. Term & Cancellation

Service continues on a recurring basis until cancelled. Monthly billing: you may cancel by providing thirty (30) days' written notice prior to your next billing date. Prepaid/upfront billing: fees are paid in full for the agreed term and are non-cancellable once the term has begun; service continues through the end of the paid term and does not automatically renew unless otherwise agreed in writing. Upon cancellation or expiration, ongoing content production will cease at the end of the applicable period, and your Voice Clone data will be handled per the retention terms in our Privacy Policy.

7. Refunds

Fees already paid for services rendered are non-refundable except as required by law or as separately agreed in writing.

8. Acceptable Use

You agree not to request content that is unlawful, defamatory, infringing, fraudulent, or that misrepresents your business, products, or services. We reserve the right to decline to produce content that violates this section or exposes us to legal liability.

9. Third-Party Platforms

Your content is published to and distributed through third-party platforms (including podcast directories, YouTube, and social media platforms) that maintain their own terms of service, algorithms, and policies outside our control. We do not guarantee rankings, reach, engagement, or performance on any third-party platform.

10. Disclaimer of Warranties

Our services are provided "as is" and "as available." We do not warrant that content production will be uninterrupted or error-free, or that any specific business outcome (such as lead volume or revenue) will result from our services.

11. Limitation of Liability

To the maximum extent permitted by law, our total liability arising out of or related to these Terms or our services will not exceed the amount you paid us in the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

12. Indemnification

You agree to indemnify and hold us harmless from claims arising out of content you requested that violates these Terms, misrepresents your business, or infringes the rights of a third party.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Smith County, Texas, unless otherwise agreed in writing.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Last Updated" date above. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
